1. Introduction

Welcome to SARF Exchange. These Terms of Service ("Terms") govern your use of the SARF Exchange platform, website, and services (collectively, the "Services") operated by SARF Exchange Ltd. ("SARF Exchange", "we", "us", or "our"), a company registered in Ghana.

By accessing or using our Services, you agree to be bound by these Terms. If you disagree with any part of the Terms, you may not access the Services.

2. Acceptance of Terms

By creating an account, accessing, or using our Services, you confirm that:

  • You have read, understood, and agree to be bound by these Terms
  • You are at least 18 years of age or the legal age of majority in your jurisdiction
  • You have the legal capacity to enter into a binding agreement
  • You will comply with all applicable laws and regulations

If you are accessing or using our Services on behalf of a business entity, you represent and warrant that you have the authority to bind that entity to these Terms.

3. Eligibility

To be eligible to use our Services, you must:

  • Be at least 18 years old or the age of legal majority in your jurisdiction
  • Not be a resident of or located in a country subject to Ghana or international sanctions
  • Not be on any sanctions lists or prohibited from engaging in financial transactions under applicable law
  • Have full power and authority to enter into these Terms
  • Not be prohibited from using our Services under applicable law

We reserve the right to refuse registration of, or cancel accounts at our discretion.

4. Account Registration and Security

To access certain features of our Services, you must register for an account. When you register, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized access or use of your account
  • Accept responsibility for all activities that occur under your account

You are solely responsible for safeguarding your account credentials and for any actions taken through your account. We will not be liable for any loss or damage arising from your failure to comply with this section.

5. Services Description

SARF Exchange provides a platform for users to buy, sell, and trade digital assets. Our Services include:

  • Digital asset exchange services
  • Digital wallet services
  • Educational resources
  • Market data and analytics

We reserve the right to modify, suspend, or discontinue any part of our Services at any time without notice or liability.

6. User Obligations and Prohibited Activities

When using our Services, you agree that you will not:

  • Violate any applicable law, regulation, or third-party rights
  • Use our Services for any illegal purposes
  • Attempt to circumvent any security features of our Services
  • Engage in market manipulation, fraud, or deceptive practices
  • Provide false, inaccurate, or misleading information
  • Use our Services to launder money or finance terrorism
  • Interfere with or disrupt the integrity or performance of our Services
  • Attempt to gain unauthorized access to our Services or related systems
  • Use automated systems or software to extract data from our Services
  • Impersonate any person or entity

We reserve the right to investigate and take appropriate legal action against anyone who, in our sole discretion, violates this provision.

7. Intellectual Property

Our Services and all content, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by SARF Exchange, its licensors, or other providers and are protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

These Terms do not grant you any rights to use our trademarks, logos, domain names, or other brand features without our prior written consent.

8. Fees and Payments

You agree to pay all fees associated with your use of our Services. We reserve the right to change our fee structure at any time. Changes to fees will be posted on our website and will take effect immediately.

All fees are exclusive of all taxes, levies, or duties imposed by taxing authorities, and you shall be responsible for payment of all such taxes, levies, or duties.

You authorize us to debit your account for any applicable fees and charges. If you dispute any charges, you must notify us within 30 days of the date of the transaction.

9. Risk Disclosure

Trading digital assets involves significant risk. You acknowledge and agree that:

  • The value of digital assets can fluctuate significantly and may even become worthless
  • Past performance is not indicative of future results
  • Trading digital assets may not be suitable for all individuals
  • You may sustain substantial losses of funds
  • Regulatory changes may adversely affect the value of digital assets
  • Technical vulnerabilities may exist in digital asset networks

You should carefully consider your financial situation and risk tolerance before trading digital assets. We recommend seeking advice from an independent financial advisor if you have any doubts.

10. Termination

We may terminate or suspend your account and access to our Services immediately, without prior notice or liability, for any reason, including but not limited to a breach of these Terms.

Upon termination, your right to use our Services will immediately cease. If you wish to terminate your account, you may simply discontinue using our Services or contact us to request account deletion.

All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

11. Disclaimers and Limitations of Liability

Our Services are provided on an "as is" and "as available" basis, without any warranties of any kind, either express or implied. We disclaim all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

In no event shall SARF Exchange, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

  • Your access to or use of or inability to access or use our Services
  • Any conduct or content of any third party on our Services
  • Any content obtained from our Services
  • Unauthorized access, use, or alteration of your transmissions or content

Our liability is limited to the maximum extent permitted by law.

12. Indemnification

You agree to defend, indemnify, and hold harmless SARF Exchange, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of our Services.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Ghana, without regard to its conflict of law provisions.

Any dispute arising from or relating to these Terms or our Services shall be resolved through binding arbitration in Accra, Ghana, in accordance with the rules of the Ghana Arbitration Centre. The arbitration shall be conducted in English by a single arbitrator.

Any legal action or proceeding relating to your access to, or use of, our Services or these Terms shall be instituted exclusively in the courts of Ghana. You and SARF Exchange agree to submit to the jurisdiction of, and agree that venue is proper in, these courts.

14. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide notice of any changes by posting the new Terms on our website. Your continued use of our Services after any such changes constitutes your acceptance of the new Terms.

It is your responsibility to review these Terms periodically for changes. If you do not agree to any of the changes to these Terms, you must stop using our Services.

15. Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent under law.

16. Entire Agreement

These Terms, together with our Privacy Policy and KYC/AML Policy, constitute the entire agreement between you and SARF Exchange regarding our Services and supersede all prior agreements and understandings.
